Usual Retains Program Leadership and Revises Approval Authority
Board review results in changes to selection, compensation and connected-party purchasing approvals.
Usual Industries today announced changes to executive appointment and purchasing authority following a review overseen by independent directors. Vickie Sanders and Alisa Janine Gallup will continue as Chief Operating Officer and Chief Administrative Officer.
The review concluded that the relationship disclosures concerning Marianne Duvall and Julian Bellamy had been made, but had not been consistently routed to all required approvers. The Board directed corrective action to the approval process and restricted the executives’ authority in matters involving the identified relationships.
Sanders may no longer approve Duvall’s compensation adjustments or engagements involving her outside interests. Gallup may no longer approve Bellamy’s compensation adjustments or engagements involving Bellamy & Vale. Those decisions will require independent People, Procurement and Board review.
Duvall remains responsible for efficiency reporting, with Finance reviewing the stated savings. Bellamy continues in talent partnerships. He will not participate in the selection or approval of suppliers in which he has an interest.
Bellamy & Vale’s proposed executive-program services agreement has been withdrawn. No payment was released under the proposal. The employment arrangements remain in force, subject to their existing terms. The financial-reporting auditors will continue their review of the revised control process.
Maurice Morrison said the Board had considered the findings and the available contractual remedies. “We have required changes to authority and documentation. We have not directed termination of these appointments.”
Clarence Biggs said management would implement the changes while maintaining program delivery. “Continuity matters. The operating priorities have not changed, and the people responsible for them know what is expected.”
