Before you begin

This questionnaire is intended for the employee to whom it was issued. If you are not the intended employee, notify Internal Audit. If you are uncertain whether you are the intended employee, complete the questionnaire before contacting Internal Audit.

Please answer each question based on your present knowledge. You are not required to investigate matters involving members of your immediate family; information of which you are presently aware must be disclosed.

QUESTIONNAIRE0 of 13 responses complete
01Outside Positions

During the Reporting Period, did you serve as an officer, director, trustee, partner, employee, adviser, committee member or in another formal capacity for any organization other than Usual Industries or a Usual-controlled entity?

Do not report Usual-related appointments undertaken as part of your regular responsibilities; ordinary civic or charitable participation without governance responsibilities; positions concluded before joining Usual; or positions Internal Audit has previously determined need not be reported. Previously approved outside positions must still be reported.
02Outside Employment and Services

During the Reporting Period, did you receive or expect to receive compensation for consulting, advisory, employment, contracting or other services provided to an organization other than Usual?

For purposes of this question, compensation includes money, equity, credits, consideration, future consideration or another arrangement that may reasonably be considered compensation.
03Immediate Family Employment

To your present knowledge, does any member of your immediate family currently hold, or during the Reporting Period have held, a position with Usual Industries or a Usual-controlled entity?

You are not required to make inquiries of immediate family members in order to answer this question.
04Business Relationships

To your present knowledge, have you or an immediate family member provided goods or services to Usual, maintained a commercial relationship with Usual, leased property to or from Usual, or otherwise participated in a business arrangement involving Usual?

Ordinary employment by Usual should not be reported under this question unless circumstances surrounding that employment are otherwise responsive.
05Interests in Other Organizations

To your present knowledge, do you or an immediate family member hold a material financial or governance interest in a customer, supplier, competitor, adviser, lender, landlord, tenant or other organization that does business with Usual, previously did business with Usual, or may reasonably be expected to do business with Usual?

Do not independently determine whether an interest is material. If uncertain, answer Yes.
06Financial Consideration

During the Reporting Period, did you or an immediate family member receive, become entitled to receive, or reasonably expect to receive financial consideration arising from a transaction, referral, investment, acquisition, disposition, financing or other arrangement involving Usual?

Examples may include referral payments, transaction proceeds, preferred investment opportunities, participation rights, guarantees, incentives or arrangements not described above. This list is illustrative and does not limit the scope of the question.
07Gifts and Things of Material Value

During the Reporting Period, did you or an immediate family member accept any gift, benefit, accommodation, access, privilege or thing of material value from a person or organization doing or seeking to do business with Usual?

Do not report ordinary business meals, widely available discounts, items distributed generally at approved events, or gifts arising solely from a personal relationship. If a personal relationship also has a business dimension, refer to the Enterprise Gift Classification Standard before answering.
08Loans and Financial Arrangements

During the Reporting Period, did you or an immediate family member receive, maintain or become entitled to any loan, guarantee, credit arrangement or other financial accommodation from Usual or an entity acting on Usual's behalf?

Do not report ordinary employee benefits available generally to similarly situated employees.
09Procurement and Supplier Decisions

Have you participated in, influenced, advised upon or received information concerning a Usual procurement decision involving an organization with which you have a personal, familial, financial, professional or previously undisclosed relationship?

Participation includes participation that did not affect the final decision.
10Organizational Relationships

Are you aware of any reporting relationship, dotted-line relationship, project relationship, mentoring relationship, succession arrangement or other organizational relationship that could reasonably be perceived as affecting your objectivity?

A perceived conflict need not constitute an actual conflict. An actual conflict need not have affected a decision.
11Previously Disclosed Matters

Have any circumstances associated with a matter you previously disclosed changed since the matter was disclosed?

Do not answer No solely because you do not recall the previous disclosure.
12Awareness of Other Matters

Are you presently aware of any conduct by another Usual employee, officer, director, contractor or person acting on Usual's behalf that may violate an applicable Usual policy, standard, procedure, guideline, expectation or other requirement?

Do not report matters already identified by Internal Audit unless you are uncertain whether Internal Audit has identified the matter. If uncertain whether Internal Audit has identified the matter, answer Yes.
13Completeness

Are you aware of any actual, potential, perceived, anticipated, previously disclosed or otherwise relevant circumstance not addressed by your responses above that a reasonable person, having access to information that may or may not be available to you, could consider relevant to an evaluation of your independence, objectivity or compliance with Usual policy?

If uncertain whether a circumstance is responsive, disclose the circumstance.
